Terms and Conditions of Service

These Terms and Conditions govern the sale and manufacturing of custom embroidery and PVC products by San Antonio Patch Co. (The Provider) to the purchasing party (The Client). By engaging our services, The Client agrees to be legally bound by the stipulations outlined below.

Order Process & Contract Formation

Our manufacturing protocol follows a strict linear sequence to ensure accuracy. The contract between The Provider and The Client is formed through the following steps:

Quote Submission

The Client submits specific design requirements, including size dimensions, backing type, and quantity.

Digital Proofing

The Provider creates a digital mock-up or sew-out scan. This serves as the visual representation of the final product.

Approval & Binding

Written approval constitutes a binding contract. It is the Client’s sole responsibility to verify spelling, colors, and dimensions.

Production

Manufacturing commences upon payment and approval. Once started, the order cannot be modified.

Artwork & Intellectual Property (IP)

We operate as a custom manufacturer and assume The Client holds the legal rights to the imagery provided.

Ownership Warranty

The Client warrants that they own the copyright or possess a license to use all uploaded artwork, logos, and text. You affirm legal ownership of all assets submitted.

Digitizing Files

Physical patches become Client property upon delivery. However, the source digitized files (DST/EMB) remain the property of The Provider unless released via a transfer fee.

Manufacturing Tolerances & Variations

Custom manufacturing involves physical limitations that differ from digital printing. The Client acknowledges the following industry-standard tolerances.

Color Matching

We use Pantone Solid Coated. Slight variations between RGB monitors and physical polyester threads are expected and not grounds for a refund.

Size Variance

Due to fabric expansion and contraction during stitching, physical dimensions may vary slightly from the approved file.

Tolerance: +/- 1mm

Stitch Limitations

Micro-text must be adjusted. Small letters may be simplified or enlarged by digitizers to ensure legibility and structural integrity.

Min Text: 4mm Height

Payment Terms & Cancellations

Our production model is built on efficiency. Please review our payment structure and cancellation windows carefully.

Upfront Payment

Full payment is required before production commences. We do not offer net-terms unless explicitly agreed upon in a separate corporate contract.

Policy: 100% Advance

Pre-Production

Orders cancelled before the digitizing or mold-making stage are eligible for a full refund.

Status: Refund Available

Post-Production

Orders cannot be cancelled once the digital mock-up has been approved and production has started. Raw materials have already been allocated.

Status: Non-Refundable

Shipping & Delivery Liability

Our responsibility is defined by the manufacturing timeline. Liability shifts to the courier once the package leaves our facility.

Provider Responsibility

We guarantee the “Turnaround Time” for manufacturing (e.g., 7-10 business days). Our liability covers the production quality and timely handover to the courier.

Third-Party Responsibility

San Antonio Patch Co. is not liable for transit delays caused by logistics providers (FedEx, DHL, UPS), weather events, or customs clearance procedures.

Lost Packages Policy

In the event of a lost package, we will assist The Client in filing a claim with the courier. However, we are not financially liable for goods that are explicitly marked as “Delivered” by the carrier’s tracking system.

Dispute Resolution & Governing Law

To ensure transparency and legal clarity, our operations are bound by the following jurisdiction protocols.

Governing Law

This agreement is governed by the internal laws of the State of Texas. All commercial transactions and manufacturing contracts are interpreted in accordance with Texas state statutes.

Exclusive Jurisdiction

Any legal suit, action, or proceeding shall be instituted exclusively in the federal courts of the United States or the courts of the State of Texas located in San Antonio. The Client waives any objections to this jurisdiction.

Acceptance of Terms

By submitting a payment or approving a digital proof, The Client acknowledges they have read, understood, and accepted these Terms and Conditions in their entirety.
